CONFIDENTIALITY AND NONDISCLOSURE AGREEMENT This Confidentiality and Nondisclosure Agreement (“Agreement”) is made and entered into by and between _____________________________ (“Recipient”) and Scott Brothers Entertainment Inc. and/or its affiliated or related companies including but not limited to the broadcaster(s) of the Series (collectively, “Company”). For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Recipient hereby agrees as follows: a. CONFIDENTIAL INFORMATION. Recipient is currently or will render services to Company in connection with or otherwise participate in the television series presently entitled “House Hunters: Amazing Water Homes 3 / Living on the Edge (w.t.)” (“Series”). Recipient may learn or acquire certain information deemed confidential regarding, concerning, or related to the personal and/or business affairs of the Series, Company and/or its officers, directors, principals, affiliates, employees, contractors, executives, parent and any other related or affiliated entities (hereinafter collectively “Company’s Affiliates”) and/or its on-air talent, participants, and host(s), if any (collectively, “Host”). Recipient agrees that they shall not, both during and after the term of their services or participation, in perpetuity, disclose or cause to be disclosed (or confirm or deny the veracity of) to any third party, unless required by law, or authorize any third party to use: any information which Company has not revealed to the general public concerning the Series (including, but not limited to, the outcome and content of episodes and/or the Series and any audio, video, photographs, documents or other recording related in any way to the Series, any episode, the Host, or any other element of the Series.); any non-public information relating to the business or interests of Host, Company, or Company Affiliates (including but not limited to Company’s plans for the production and exploitation of the episodes and/or Series as well as all terms of this Agreement) any information which Host, Company or Company’s Affiliates instruct Recipient not to disclose or confirm; and any information relating to the public or private lives of Host, Company, or Company’s affiliates (including but not limited to personal telephone numbers and addresses of residence(s)). The information described in (i)-(iv) is hereinafter referred to as the “Confidential Information”. b. Recipient agrees that all Confidential Information of which Recipient becomes aware will only be used in connection with services to be provided by Recipient as part of the Series and only for the express and exclusive purposes for which Company has instructed or authorized Recipient to use any Confidential Information. All Confidential Information and materials of which Recipient becomes aware shall be maintained by Recipient in a manner that will preserve its confidentiality and secrecy. c. Recipient acknowledges that maintaining privacy and avoiding disclosure of Confidential Information are critically important to Company, that Recipient would not be given access to Confidential Information if Recipient were not willing to agree to protect and preserve that privacy and confidentiality, and that Recipients full and strict compliance with this Agreement is a fundamental inducement upon which Company is specifically relying in beginning and/or continuing Recipients services or participation hereunder. RECIPIENT EXPRESSLY ACKNOWLEDGES THAT THE CONFIDENTIAL INFORMATION IS DESIGNATED AS “TOP SECRET” SO THAT COMPANY MAY MAXIMIZE THE PROMOTIONAL AND PUBLICITY VALUE OF THE SERIES. d. The Confidential Information shall remain the property of Company at all times. Recipient agrees not to sell any life rights or stories to any third party to the extent that they relate to or include any information concerning the Series, and further agrees not to participate in any manner in the preparation, production, or drafting of any materials produced by third parties that relate to the Series, including, without limitation, books, magazine articles, newspaper articles, television shows, Internet websites, and any other form of media, without the express prior written consent of an authorized representative of Company. e. NO PUBLICITY. Without limiting any other provision hereof, Recipient shall not give any interviews regarding or otherwise participate in the disclosure of any Confidential Information or any other information relating to this Agreement, Recipient’s services and/or participation or the business of Company or Company’s Affiliates without the prior written consent of Company in each instance. In the event Recipient is contacted by the media (including news organization, magazine, newspaper, radio or television organization) or other third party (including, without limitation, spouses, significant others, friends, family members, or members of your household), who requests that Recipient confirm or deny the veracity of any of the information covered by this Agreement, Recipient shall issue a “no comment”, and immediately advise Company thereof. f. NO PHOTOGRAPHY. Without limiting the generality of the foregoing restrictions on disclosure of Confidential Information, Recipient acknowledges and agrees that except as otherwise specifically authorized by Company in writing, Recipient may not photograph, film, or record (i) the production of the Series; (ii) the events contained therein; and/or (iii) the Host. Recipient acknowledges and agrees that any violation of this paragraph shall constitute an unauthorized disclosure of Confidential Information under this Agreement. g. Recipient further acknowledges that the Confidential Information protected hereunder is of an extraordinary nature and has extraordinary promotional and publicity value to Company. IF RECIPIENT, OR ANY EMPLOYEE, AGENT, INDEPENDENT CONTRACTOR, ASSIGN, OR REPRESENTATIVE OF RECIPIENT (INCLUDING, WITHOUT LIMITATION, ANY SPOUSE, SIGNIFICANT OTHER, FRIEND, FAMILY MEMBER, OR MEMBER OF YOUR HOUSEHOLD) DISCLOSES CONFIDENTIAL INFORMATION (AS DEFINED IN THIS AGREEMENT) EITHER DIRECTLY OR INDIRECTLY TO ANY THIRD PARTY, RECIPIENT AGREES THAT RECIPIENT SHALL PAY COMPANY THE AMOUNT OF SEVEN HUNDRED FIFTY THOUSAND DOLLARS ($750,000.00) AS A PARTIAL MEASURE OF COMPANY’ DAMAGES, AND COMPANY SHALL FURTHER, IN ADDITION TO COMPANY’S OTHER RIGHTS AND REMEDIES, BE ENTITLED TO (A) OBTAIN INJUNCTIVE AND OTHER EQUITABLE RELIEF, WITHOUT POSTING ANY BOND, TO PREVENT ANY BREACH OR THREATENED BREACH BY RECIPIENT (OR RECIPIENT’S EMPLOYEES, AGENTS, INDEPENDENT CONTRACTORS, ASSIGNS, OR REPRESENTATIVES, IF APPLICABLE) OF THIS AGREEMENT, AND (B) RECOVERY OF COMPANY’ ATTORNEYS’ FEES INCURRED TO ENFORCE THIS AGREEMENT. h. Recipient may disclose all or any part of the Confidential Information if required to do so by applicable law, provided Recipient provides Company with prompt notice of such requirement and takes all reasonable steps to limit such disclosure prior to making the required disclosure, including seeking a protective order, allowing Company to seek a protective order or other appropriate remedy. The provisions of this Agreement shall be binding upon and shall inure to the benefit of Company, its successors and assigns and to the benefit of Recipient and its successors and assigns. Recipient understands that this is not an employment agreement or an agreement to engage Recipient’s Services in relation to the Series. Recipient hereby acknowledges, certifies, and agrees that Recipient has carefully read this Agreement, fully understands its content, and agrees to the terms and conditions contained herein.
